
In a recent courtroom battle, the fate of Prince Legacy, LLC, hung in the balance. The Delaware Court of Chancery, led by Chancellor Kathaleen St. J. McCormick, delivered a resounding victory for the current managers, L. Londell McMillan and Charles Spicer. Despite attempts by certain members to alter the LLC agreement and seize control, the court ruled in favor of the status quo.
Prince Legacy, established in 2022 by McMillan, Spicer, and Prince’s heirs, played a crucial role in safeguarding the iconic artist’s assets. The company’s formation aimed to shield these assets from external interests seeking control. Following the probate proceedings, Prince Legacy and Primary Wave’s Prince OAT Holdings, LLC, jointly managed Prince’s assets as directed by the Probate Court.
The recent legal battle erupted when Sharon Nelson allegedly violated the LLC agreement by attempting to sell her member interests and making unreasonable demands detrimental to the company and Prince’s legacy. McMillan and Spicer, close friends of Prince and his nephew Johnny Nelson, took legal action against other Prince Legacy members—Sharon Nelson, Norrine Nelson, Breanna Nelson, and Allen Nelson.
Chancellor McCormick’s Status Quo Order dismissed arguments from the opposing side, which advocated for the removal of McMillan and Spicer as managers. The court found merit in the plaintiffs’ claims, emphasizing that the legal standing of the case adhered to Delaware law, favoring the maintenance of the status quo. This ruling ensures the stability of Prince Legacy while the lawsuit unfolds in the Court of Chancery.
